The Board of Directors Meeting on Tuesday, January 23, 2024, resolved that the 2024 Annual General Meeting of Shareholders (The 31st Meeting) shall be held on Tuesday, March 26, 2024, at 14:30 hours via electronic media (E-Meeting) only, in compliance with the Articles of Association of the Company, Clause 21, the Emergency Decree on Electronic Meetings B.E. 2563 (2020) and other related laws and regulations, to consider matters according to the agenda together with the Board of Directors’ opinions as follows:
Agenda 1: To acknowledge the Company’s Annual Report for the year 2023
Board of Directors’ opinion: requests the Meeting to acknowledge the Company’s 2023 Annual Report stating the Company’s performance and major changes during the year 2023.
Agenda 2: To consider and approve the Financial Statements for the year ended December 31, 2023
Board of Directors’ opinion: requests the Meeting to approve the financial statements for the year ended December 31, 2023, as audited and certified by the auditors and reviewed by the Audit Committee.
Agenda 3: To consider and approve the allocation of profit for the year 2023
Board of Directors’ opinion: requests the Meeting to approve the full year 2023 dividend payment at the rate of 0.55 Baht per share. The final dividend payment shall be 0.30 Baht per share and made on April 22, 2024.
Agenda 4: To consider and elect the Directors in replacement of those to be retired by rotation
Board of Directors’ opinion: requests the Meeting to elect Mr. Thammasak Sethaudom, Mrs. Suphajee Suthumpun and Mr. Wichan Jitpukdee to be directors of the Company for another term, and elect Mr. Roongrote Rangsiyopash to be a director in replacement of Mr. Chalee Chantanayingyong, whereby Mrs. Suphajee is qualified as independent director.
Agenda 5: To consider and appoint the Auditors and fix the Audit Fees for the year 2024
Board of Directors’ opinion: requests the Meeting to appoint Ms. Sureerat Thongarunsang or Ms. Pornthip Rimdusit or Mr. Songchai Wongpiriyaporn of KPMG Phoomchai Audit Ltd. to be the Company’s auditors and to approve the audit fees of 2,699,000 Baht for the year 2024 as recommended by the Audit Committee.
Agenda 6: To consider and approve the remuneration of the Company’s Directors and Sub-committee members for the year 2024
Board of Directors’ opinion: requests the Meeting to approve the retention of the remuneration of the Directors and Sub-committee members for the year 2024 pursuant to the rules and rates previously approved by the Meeting of Shareholders as recommended by the Corporate Governance and Nomination Committee.

All shareholders are cordially invited to attend the 2024 Annual General Meeting of Shareholders (The 31st Meeting) via electronic media (E-Meeting) only, on Tuesday, March 26, 2024, at 14:30 hours. (The Company has not arranged any meeting room.)* The meeting attendance request form and other required documents can be submitted via E-Request in advance beginning from Tuesday, March 19, 2024, at 08:30 hours until the meeting is adjourned. After your submitted request form has been verified and approved, the registered shareholder or proxy will receive an approval notification email containing information about username and password and a link to register and attend the meeting on the meeting day (March 26, 2024). The electronic conference system will be accessible on Tuesday, March 26, 2024, at 12:30 hours until the meeting is adjourned.

For shareholders who wish to appoint a proxy to attend and vote on their behalf in the meeting, kindly complete and duly sign either Proxy Form A or Form B provided herewith as Attachment No. 8 or download them at www.scgpackaging.com and execute only one of the aforementioned forms. Then, submit the meeting attendance request form and other required documents via E-Request and submit the completed Proxy Form with the required documents to the Company in advance so that the Company receives them by Monday, March 25, 2024. For your convenience, the Company will facilitate the affixing of stamp duty to the Proxy Form submitted to the Company.

Shareholders or proxies can find the details about documents required to attend the meeting, appointment of proxy, submission of meeting attendance request form (E-Request), and Voting, Counting, and Announcement of the Vote for Meeting via Electronic Media (E-Meeting) in Attachment No. 6 and the details about procedures for submitting meeting attendance request form (E-Request) and using electronic meeting systems (E-Meeting) in Attachment No. 7. You can appoint the Company’s independent directors to act as your proxy to vote on your behalf by giving a clear vote instruction for each agenda item (please use Proxy Form B). The names of the independent directors not due to retire by rotation at the 2024 Annual General Meeting of Shareholders are as follows:

Questions will then be gathered, and only those directly related to the agenda items where voting is involved will be addressed during the meeting. The remaining questions and suggestions will be summarized and attached to the minutes of the Annual General Meeting of Shareholders, which will be disclosed on the SET Portal and published on the Company’s website within 14 days of the date of the Annual General Meeting of Shareholders.

Songkran, or the Thai New Year, is considered a time of joy and joy that has been passed down for a long time because there will be water splash, powder patching, ablution, as well as an opportunity for those who work away from home to return to their families or loved ones.

However, during the Songkran festival, there is one activity that is believed to be practiced by most Thai people. That is water-pouring ceremony to ask a blessing from a respected elder using water as a medium to show respect, humility, and apology for things that have been offended.

Mr. suchanat chidthai, Designers from SCGP realized the importance of watering black tubers, so they designed the “Anya Songkran Gift Set”, a small silver bowl packaging set and Thai scented water that will make Songkran festival no longer boring and can be used for further use.

Anya Project or “Anya”

After receiving a request from a customer and discovering that the product only contained a small bowl of silver and Thai scented water, the SCGP design team intended to design this packaging to add value and elevate important items for watering adult tubers during the Songkran festival.

Before brainstorming until it crystallizes into the shape of a flower bush with unique details that convey goodness, pure love and freshness under the concept of “infinite goodwill” which is the origin of the name Anya in Thai name.

Take Action

Initially, SCGP wanted to utilize the most of one of the strengths of the organization, Micro Flute, with the “Anya Songkran Gift Set”. Not a single point is glue, but all elements can be connected or fastened together by the folding method.

On the part of the lid, which is of great importance. It is designed to help lock the small silver bowl and Thai scented water from moving. But if you want to take it out and use it, you can easily open the top cover.

Together with digital printing technology, graphic patterns of various auspicious symbols, this is very suitable for this special packaging because SCGP’s Digital Print is suitable for small production and does not need to be blocked for production.

Although the exterior is extravagant and predictably costly, at every design stage, SCGP has set a budget, resulting in the “Anya Songkran Gift Set” being affordable and suitable to give to others during the Songkran festival.

Illuminates After Use

The special “Anya Songkran Gift Set”, a small silver bowl packaging set and Thai scented water, is not over yet because the design team of SCGP has already planned and designed after taking out a small silver bowl and a bottle of Thai scented water. This flower bush shaped packaging must not become mere waste in the future.

The “Anya Songkran Gift Set” is a small silver bowl packaging set and Thai scented water, which can be used as home decoration or other items to replace bowls and scented water bottles.

In February, SCGP, represented by Mr. Sumeth Boonyathanapan, Manager – Inspired Studio and Packaging Solutions, SCGP, gave a lecture to 93 undergraduate students from the Faculty of Logistics and Digital Supply Chain, Naresuan University. SCGP shared basic knowledge of packaging that relates to logistics work: types of packaging and their importance, their strength, and unitization. SCGP also talked about how packaging makes product distribution more convenient, factors to consider for cost management when selecting logistics packaging, the development of logistics packaging, and supply chain optimization. The content included updates on upcoming trends in the use of sustainability packaging in organizations and product brands. The lecture aimed to lay the foundation of the sustainability mindset among youth groups, encouraging them to use fewer resources and reuse them, in accordance with the principles of the Circular Economy, which is essential for students’ future work and is in line with the university’s policy to create social innovators.

“I learned about SCGP’s Sustainable Packaging which can be adapted to my work in the course I am studying. Moreover, when listening to the various concepts the lecturer described, I felt more interested in sustainability studies. In the future, I would like to try internships in this field so that I can determine if I really like this area of study,” said Tanawat Wiriyadilok.

“ I got new insights about packaging, including the transportation aspects that I didn’t expect to hear. I like the idea of transporting paper plates abroad without using pallets, which was completely different from the transportation process I had previously seen. I feel that making Sustainable Packaging is interesting and this lecture gave me ideas to expand on my work,” said Pannapat Ruabkeryoo.

The situation of PM2.5 dust that has occurred in Thailand over the years, combined with the spread of the COVID-19 virus. Around the world, people’s lifestyles have had to be changed to protect themselves from danger.

It is a clear reason why a new way of life wears a “mask”. When it comes to living in the outdoor.

SCGP designers once had a big opportunity to work with situations that were interested in producing effective and comfortable masks and respirator masks for Thai people to use.

Dedicate your physical and mental strength before giving birth to a mask that filters out particulate matter and infectious particles. The name “CUre AIR SURE.”

The Initiative

Many people may know that in the year 2020, when the COVID-19 virus was spreading in Thailand, there was a shortage of quality masks.

The crisis has had far-reaching consequences for Thai society. At that time, there was looking for quality masks that were sufficient quality to provide the best protection against particulate matter and infectious particles.

And especially for health professionals in hospitals, who have been a major force during the pandemic. High-performance respirator masks are essential equipment they always wear to work. This cannot be avoided at this point.

During that time, the funded research, production, and management team from the CU Empowerment Project, The 2nd Century Fund (C2F) CU Engineering Enterprise, and Chulalongkorn University, saw that Thailand had not been able to produce quality masks on its own. Must import only.

And even if masks are imported from abroad. Those masks are also of substandard quality. The size is not suitable for the face contour of most Thai people, which may put users at risk of danger.

Therefore, SCGP has formed a team to brainstorm ideas and produce quality masks suitable for Thai use. In the name of “CUre AIR SURE”

“As all remember, when Thailand encountered COVID-19, there was a shortage of hygiene masks. Not applicable, but we must have it,” said the SCGP designer.

“It became a big problem. The Faculty of Engineering, Chulalongkorn University, investigated and found that Thailand still cannot produce respirator masks. It must be 100 percent imported, imported from anywhere. Therefore, we thought about how to make Thailand produce quality masks that can be used somewhat, so this is the beginning of the project.”

Full performance

For the “CUre AIR SURE” respirator mask, SCGP designers have designed the product with an emphasis on being capable of filtering out 99% of bacteria and small particulates.

The mask can filter particles and prevent PM2.5 dust equivalent to N95 masks, with a filtration efficiency of both bacteria and dust of more than 99 percent. It is only 15 percent lighter than a regular mask. Does not obstruct the user’s vision during operation, comfortable to wear.

It was necessary to communicate with multiple parties to complete the piece.

The SCGP designer revealed that without working with other groups, we would never have made this work a reality.

“We did all the design work, but we also had to find someone who could provide the resources to produce this piece. There are so many parties that we need to talk to. We had to attend the event, so we learned something new from them.”

Pay attention to the people who use it.

In addition to the efficiency of use, another detail that SCGP designers attached great importance to making the “CUre AIR SURE” respirator mask designed and created for all Thai people to be the right size for the face contour of Asian people. It can be used by both men and women.

The designer said, “Ergonomics is that when designing the mask, I studied the face contours of Asian people before because almost all of the masks that exist in Thailand are for Europeans.”

“And ergonomics will also affect the safety of the wearer. The big thing I’ve just learned from doing this work is that if the mask doesn’t fit the wearer, there will be leaks. When there’s a leak, it’s useless.”

And with both the performance of use, the comfort of wearing, and the attention to important details that many people may overlook, the work CUre Air Sure’s mask has reached the prestige of winning the “Design Excellence Award (DEmark)” in the industrial and digital categories in 2021.

In the same year, we get the “Good Design Award (G-Mark)” from Japan. In the category of Innovative Health Product Design.

“The Japanese committee was amazed that we were able to make this mask. We have proved to everyone that SCGP is extraordinary, both in knowledge and the production techniques.”

“We can communicate to manufacturers to understand our design and produce the exact parts that we have designed. This is a knowledge that I think is valuable,” said the SCGP designer.

“Banana” is considered an easily available fruit and is commonly found in the Thai market. Any kind of Banana, this fruit is full of nutrients and is suitable for all genders and ages, including those who take care of their health, exercise, and athletes.

At Singha Park Chiang Rai, Boonrawd Brewery cultivates premium banana which is a special and premium banana.

As an AAA-certified fruit, it needs to be packaged in packaging that can enhance the value of this fruit, and of course, premium banana is packed in SCGP’s premium packaging, “Premium Banana Box”.

Special Packaging

When talking about Singha Park Chiang Rai, many people may know it for its tourist attractions and is also an agricultural area with an area of about 8,000 rai, where “bananas” are cultivated, one of the farm’s most premium and famous fruits. However, let’s get to know this banana briefly. 

Golden bananas are classified as AAA-grade fruits, they are premium, large-fruited, and expensive. When ripe, the peel of the banana is golden yellow and has a sweet taste.

When entering special occasions, of course, what accompanies these moments is gifts to give to dignitaries, and the most popular is fruit.

Singha Park Chiang Rai wanted to bring this banana as a special gift to a group of dignitaries at the executive level as well.

Those who take on this role include Ms.Onpawee Bavonpattanapaisarn and Ms. Atikarn Boonprakong SCGP’s design team brought a new twist to the packaging of this fruit and raised the bar for premium bananas. 

Sleek Identity

The design of packaging for bananas must consider the main factors. These are the weights and patterns that can convey the strengths and identity of Singha Park Chiang Rai.

Firstly, it’s about weight, and as mentioned above, bananas are premium bananas, when the fruit is fully ripe, it is large. As a result, the structural design of the box needs to support the weight well.

The design team has developed the structure to be strong and also keep in mind the simplicity. The box is designed with an octagonal shape, adding a highlight to the front of the box by leaving space that demonstrates the product.

When it comes to fruit boxes, of course, the handles of the box itself are necessary, and that is homework to make such new boxes.

The design of the handle that the SCGP team took some time to design until the pattern finally emerged through a simple design. By hiding a good-sized handle, the handle is flat against the box. In addition, the structure considers the presence of ventilation holes for the fruit to preserve its freshness.

The second part is the “pattern” design of the packaging that must represent the uniqueness of Singha Park Chiang Rai. Further with the pattern of banana leaves that are flowing.  

So what does it mean for Singha Park Chiang Rai? Of course, this may be a question that many people are wondering.

The SCGP design team hid a small gimmick around the box as well. From the uniqueness of Singha Park Chiang Rai, the landscape of Singha Park’s farmland has been studied, such as terraced tea plantations. 

There are also statues of Singha or large golden sculptures that are the highlight of the farm to be placed on the packaging itself as well as a vehicle to see the atmosphere of the farm like a balloon.

Meet all Aspects

Before becoming a packaging for this premium banana. SCGP team had to do their homework carefully to come up with the perfect banana box for the customer, which was coordinated between the design and structural teams for a full month.

Such packaging design can convey the identity of both the product and the identity of Singha Park Chiang Rai. This premium banana box won the Asia Star Point Of Purchase award from the Thaistar Packaging Awards in 2021. 

This demonstrates that SCGP has a team that can design packaging to meet a wide range of customer needs.

SCGP welcomed the members of the Southeast Asian Ministers of Education Organization Regional Center for Sufficiency Economy Philosophy for Sustainability (SEAMEO SEPS). The members are school directors and teachers from 7 ASEAN countries: Cambodia, Thailand, Brunei, the Philippines, Malaysia, Laos and Indonesia, who participated in the Sufficiency Economy Philosophy towards Sustainability (SEP4School) Project. The group visited SCGP Ban Pong Plant and Ban Rang Plub community in Banpong District, Ratchaburi Province, which is a model community for waste management in the SCGP project under the name SCGP Zero Waste Community. The purpose of the visit is to study business operations under the Circular Economy principles, based on the ESG framework. The community also adopted and applied the Sufficiency Economy Philosophy in both business operations and community development. The visit was also aimed to enhance members’ knowledge and experience, in accordance with the objectives of SEAMEO SEPS of being an information center of the Sufficiency Economy Philosophy, research study, and knowledge sharing. The center promotes applying the philosophy in various dimensions according to the context of countries in Southeast Asia, expecting that it would lead to mutual achievement in the region and achieve the United Nations Sustainable Development Goals.

Vinakraft Paper Co., Ltd. (VKPC) in SCGP has been selected as one of the top 100 companies with outstanding sustainability performance for three consecutive years. The ranking project aims to encourage companies in Vietnam to conduct business according to the Sustainable Development Goals while maintaining economic, social and environmental development, and maximizing resource efficiency. Mr. Sompob Witworrasakul, Chief Regional Officer, SCGP, said that VKPC is committed to operating a sustainable business through the ESG 4 Plus strategy: focusing on Net Zero – Go Green – Reduce Inequality – Enhance Collaboration Plus Trust through Transparency in all operations. The practice is consistent with the organization’s guidelines and Vietnam’s economic and social context. This is in line with the country’s goal of moving towards Net Zero and Going Green, starting with producing packaging from almost 100% recovered paper, developing innovations to improve products and production processes to reduce the use of resources and reuse them. Some initiatives include installing solar cells, reusing waste and turning them into energy, increasing the proportion of biomass energy use that helps reduce greenhouse gas emissions, and promoting the local economy. “Being ranked in the Corporate Sustainability Index 100 (CSI 100) reflects that our strategies, goals, and business operation are headed in the right direction. They are also in line with Vietnam’s national development plan. VKPC is proud to take part in nurturing the environment and society toward advancement and sustainability,” Mr. Sompob added.

The Department of Industrial Works, led by Mr. Julapong Taweesri – Director General of the Department of Industrial Works, Mr. Sunthorn Kaewsawang, Deputy Director-General of the Department of Industrial Works, and management, visited to observe the technology of the project “Development of E-Nose Technology for Odor Detection and Monitoring in Industrial Plants.” Mr. Wichan Jitpukdee, Chief Executive Officer of SCG Packaging Public Company Limited or SCGP, and management welcomed and provided information, as well as discussed strategies for developing E-Nose innovation at the Innovation and Product Development Center in Ratchaburi Province.

SCGP collaborated with the Department of Industrial Works, Thammasat University, and King Mongkut’s Institute of Technology Ladkrabang to study and develop odor detection and monitoring systems in industrial plants to meet international standards. This aims to enable entrepreneurs to use them for inspection and prevention of impacts on communities and the environment. Currently, the system has made significant progress and can be practically applied. It has been tested with odors from various industries, such as rubber plants, animal feed plants, Refuse Derived Fuel, pulp and paper plants, seafood processing plants etc. Additionally, it has been operational in the pulp and paper plant group of SCGP. The system accurately identifies odor characteristics and concentrations, provides continuous monitoring, and is efficient.

Currently, there are approximately 300 complaints per year about nuisance odors from industrial operations. These odors are assessed through sensory tests using human noses to determine odor concentrations, typically from industrial operations where odors are non-toxic to sniff safely. However, there are various types of industrial operations with odors that are hazardous to human health and cannot be assessed with human noses due to chemical components. Therefore, the E-Nose can be used to continuously monitor odor levels at all times 24 hours, reducing complaints and impacts on surrounding communities. This efficient approach improves fairness and promotes ongoing cooperation between SCGP and the Department of Industrial Works to enhance odor measurement standards and technical guidelines for future E-Nose usage.
